Agreement to Terms
By engaging ScalePod MNL's services or using our website, you agree to these Terms of Service. If you do not agree, please do not use our services or website. These terms apply to all clients and website visitors.
Services
ScalePod MNL provides Shopify web design, development, technical SEO, and growth marketing services. The specific scope, deliverables, timeline, and fees for each engagement are defined in individual project proposals or statements of work agreed upon by both parties.
Client Responsibilities
To ensure successful project delivery, clients agree to:
- Provide timely access to required platforms, accounts, and materials
- Respond to requests for feedback or approval within agreed timeframes
- Review deliverables and provide consolidated feedback (not piecemeal revisions)
- Ensure all content provided does not infringe on third-party intellectual property
Intellectual Property
Upon full payment, clients receive ownership of all custom code, designs, and content created specifically for their project. ScalePod MNL retains the right to showcase completed work in our portfolio and marketing materials. We may use general knowledge, techniques, and patterns gained during the project in future work.
Payment Terms
Project fees are outlined in individual proposals. Unless otherwise agreed, payment follows this structure: 50% deposit before work begins, 50% upon project completion. Invoices are due within 15 days of issuance. Late payments may incur a 1.5% monthly interest charge.
Limitation of Liability
ScalePod MNL's total liability for any claim arising from our services shall not exceed the total fees paid by the client for the specific project in question. We are not liable for indirect, incidental, or consequential damages, including lost profits or revenue. We do not guarantee specific search engine rankings, conversion rates, or revenue outcomes.
Third-Party Services
Our projects may integrate with third-party services (Shopify, Klaviyo, Google Analytics, etc.). We are not responsible for the availability, performance, or policy changes of these services. Clients are responsible for maintaining their own subscriptions and accounts with these platforms.
Confidentiality
Both parties agree to keep confidential any proprietary information shared during the engagement. This includes business strategies, customer data, financial information, and technical details. This obligation survives the termination of any project engagement.
Termination
Either party may terminate a project with 30 days' written notice. The client is responsible for payment of all work completed up to the termination date. Deposit payments for work not yet started are refundable at our discretion.
Governing Law
These terms are governed by the laws of the Philippines. Any disputes shall be resolved through good-faith negotiation first, then through binding arbitration in Manila, Philippines.
